Klinora Pro Agreement

Staging draft · pending legal review · Version 1

This is a complete staging draft, not the final published agreement. Owner details and professional review still need confirmation (9 open items).

1. Parties and purpose

This Agreement is between Klinora Limited and the person or business approved as a Klinora Pro.

It governs access to the Klinora marketplace, professional opportunities, accepted bookings, customer service delivery, quality processes, financial records and marketplace access.

2. Independent relationship

The parties intend that the Klinora Pro operates independently and is not an employee, worker, partner or general agent of Klinora.

The Klinora Pro chooses whether to apply, which services to offer, ordinary availability, travel coverage, and which opportunities to accept.

There is no guarantee of minimum work, hours or earnings.

The legal status depends on the actual working relationship and cannot be determined by wording alone. Final status wording requires solicitor review.

3. Application and eligibility

The Klinora Pro must provide accurate information and complete the approved application and verification process.

Requirements may include identity, permission to undertake the work, address, experience, insurance, tax or VAT information where proportionate and approved.

Klinora must not describe a check as complete merely because a file was uploaded.

Approved evidence and insurance policy: Pending confirmation: professional evidence and insurance requirements

4. Account and profile

The Klinora Pro must keep contact, service, availability, travel, capability, tax and payout information accurate.

Account access is personal and must not be shared.

Google sign in, where configured, is an access method and does not replace application approval.

5. Opportunities and acceptance

An opportunity is an invitation to review and decide whether to accept work. It is not guaranteed income.

Before accepting, the Klinora Pro must review the service, approximate area, date, time, duration, products, pets, travel and expected earnings.

Acceptance creates a binding booking commitment, subject to the customer and payment lifecycle shown by Klinora.

The Klinora Pro must not accept overlapping work.

6. Recurring cleaning

Where the Klinora Pro accepts a recurring opportunity, the accepted commitment includes the recurring slot described in the opportunity.

The Klinora Pro may use the approved process to request a change, mark a date exception or end the recurring arrangement.

One date unavailability and ending all future cleans are different actions.

7. Customer information and confidentiality

Customer details are supplied only for legitimate booking and support purposes.

The Klinora Pro must protect addresses, contact details, access information, messages and other private information.

Customer information must not be used for unrelated marketing, harassment, public content, identity misuse or unauthorised off platform activity.

Full address and contact information may be released only at the approved booking stage.

Approved release point: Pending confirmation: confirm approved customer data release point

8. Professional service standards

The Klinora Pro must:

  1. Attend accepted bookings or communicate promptly if a problem arises.
  2. Provide the confirmed service with reasonable care and skill.
  3. Follow reasonable safety, access and property instructions.
  4. Use products and equipment appropriately.
  5. Report lateness, access, safety, property and service problems honestly.
  6. Protect customer property and privacy.
  7. Treat customers and Klinora staff respectfully.
  8. Avoid unlawful or unsafe work.

The Klinora Pro may stop where there is a genuine safety or materially unsuitable property condition.

9. Arrival, start and completion records

The Klinora Pro should use I have arrived, Start cleaning and completion actions where available.

Where an action was genuinely missed, the Klinora Pro must use the approved manual visit timeline honestly.

Klinora must not fabricate a missing system event.

Scheduled time, reported time and approved billable duration remain separate.

10. Additional time

The booked duration is the expected billable duration.

Where additional time is genuinely needed, the Klinora Pro may propose the total billable duration.

A higher customer price requires explicit customer approval.

Additional time must not bypass maximum duration, finish time or overlap rules.

11. Cancellations, lateness and no show

The expected Klinora Pro cancellation notice is 48 hours.

Late cancellation, material lateness or no show may create a reliability event, subject to evidence and exceptional circumstances.

Repeated substantiated late cancellations may trigger marketplace review and a temporary restriction from new opportunities.

Klinora does not automatically reduce a public rating merely because of a cancellation or contribution decision.

12. Customer cancellation and no access

A substantiated customer late cancellation or no access case may create professional compensation under the approved policy after the charge is successfully collected.

Compensation is separate from completed cleaning earnings.

The Klinora Pro must follow the no access process before claiming customer absence.

13. Quality, reviews and complaints

Klinora may collect reviews and operate quality cases, discussions and improvement periods.

A complaint does not automatically prove fault.

Klinora may consider booking records, messages, evidence, customer and Klinora Pro responses, and repeated patterns.

The Klinora Pro may use available review and complaint processes.

14. Customer prices and professional earnings

Klinora controls the customer price book and professional payout rates.

The opportunity shows the expected professional earning under the applicable price record.

The Klinora Pro becomes entitled to approved earnings only after the applicable service, collection, dispute and finance conditions are satisfied.

Current product allocation is £3.50 where the customer selected and paid the £4 products charge, subject to the applicable price version.

One hundred percent of a successfully collected tip is credited to the Klinora Pro.

15. VAT and tax

The Klinora Pro is responsible for personal or business tax, National Insurance and VAT duties.

VAT cannot be activated through a simple setting. Klinora applies VAT only after approved evidence and verification.

A VAT change affects future eligible bookings and does not rewrite history.

16. Payout and invoice terms

The separate Professional Finance and Payout Terms govern payout details, weekly payouts, platform fees, invoices, statements, tips, refund contributions and adjustments.

Separate Invoice Authorisation is required before Klinora generates customer service invoices in the Klinora Pro's name and on their behalf.

17. Insurance

The current insurance responsibilities are: Pending confirmation: approved platform and klinora pro insurance wording

The Klinora Pro must not make an insurance assurance to a customer that is not supported by the approved arrangement.

18. Off platform dealing

The approved rule concerning moving introduced or active customer work outside Klinora is: Pending confirmation: solicitor approved off platform or non circumvention rule, if any

Any restriction must be clear, proportionate and legally reviewed.

19. Suspension and termination

Klinora may pause or restrict marketplace access for safety, fraud, payment, evidence, serious quality, repeated reliability or legal reasons.

Where appropriate, Klinora will provide the reason and review route.

Either party may end the relationship, subject to accepted bookings, outstanding payments, disputes and lawful record retention.

The Klinora Pro must use customer information only for approved Klinora work.

The allocation of controller responsibilities between Klinora and the Klinora Pro requires final legal confirmation.
